RASS has developed consolidated and specific experience in Energy, Gas and Natural Resources law, having represented leading operators, mainly foreign companies, for decades in managing their activities in the liquid and gaseous hydrocarbons sector.
Over the years, the Firm has provided advice and assistance in preparing applications for prospecting and exploration permits in Italy, in regions with special status (mainly Sicily), and in territorial waters, as well as in obtaining the relevant concessions for the exploitation of discovered deposits.
In the course of such activities, the Firm has provided advice and assistance both in relation to environmental regulations and in drafting operating agreements (Joint Operating Agreements) between co-holders of mining titles, including specific clauses such as Sole Risk Agreements and Lifting and Balancing Agreements, as well as ancillary contracts relating to the activities, such as procurement agreements, drilling rig rental agreements and land lease agreements, and in related administrative proceedings, including relations with local and national authorities and any litigation before regional and national courts.
With regard to renewable energy and energy efficiency, RASS has assisted various Italian and foreign operators in the development and installation of photovoltaic and wind farms, including through cross-border corporate joint ventures, as well as high-efficiency cogeneration plants, participating in the structuring of legal arrangements throughout the entire process (establishment of SPVs, shareholders’ agreements, financing agreements, EPC agreements, etc.).
