Avv. Maria Luisa Muserra
Maria Luisa is an Equity Partner at RASS, where she leads the Corporate Compliance 231 & Regulatory team from the Milan office. A cum laude graduate of the Alma Mater Studiorum University of Bologna, she has developed deep expertise in corporate law, M&A, and Corporate Compliance, as well as in the integrated management of corporate compliance processes. She regularly serves as Chair or member of Supervisory Bodies (Organismi di Vigilanza) for both listed and non-listed companies.
Maria Luisa joined RASS in 1999, building over the years a solid and cross-disciplinary practice spanning corporate law and M&A, commercial contracts, regulatory matters, and Corporate Compliance.
In the corporate and M&A field, she has advised numerous Italian and international clients on complex transactions, including acquisitions, mergers, demergers, contributions in kind, and business transfers, as well as on corporate restructurings and the negotiation and drafting of commercial agreements, both standard and bespoke, providing practical solutions to the issues involved.
In the area of Corporate Compliance, she supports companies in identifying and mapping risks under Legislative Decree 231/2001, in preparing and updating Organisation, Management and Control Models, in adopting compliance policies and programmes, and in providing training on Ethics & Compliance.
She also has academic experience, having served as a teaching assistant (cultore della materia) in Public Law at the University of Economics and Business of Bologna (1995–1999).
Outside the office, Maria Luisa has a passion for art and reading, and never misses a chance to follow her favourite sport — strictly from the stands.
