Avv. Sofia Zuffi

Sofia joined RASS in 2012, building over the years a solid and cross-disciplinary practice spanning corporate law and Corporate Compliance – 231 & Regulatory.

In the area of Corporate Compliance, she supports companies in identifying and mapping risks under Legislative Decree 231/2001, in drafting, reviewing and updating Organisation, Management and Control Models, in preparing compliance procedures and policies (anti-corruption, whistleblowing, third-party management), and in designing training programmes on Ethics & Compliance. She provides ongoing advice and support to Supervisory Bodies, including the planning of supervisory activities, the management of information flows, and the analysis of reports.

In the corporate field, she has gained experience assisting extraordinary and restructuring transactions (mergers, demergers, acquisitions, and divestitures), as well as in structuring corporate governance arrangements and systems of powers and proxies consistent with the 231 Models adopted. She takes an integrated approach that combines regulatory compliance, operational efficiency and risk management, with particular attention to the integration between the 231 Model and the company’s management systems.

Outside the office, Sofia has a passion for travel, concerts and sport.

• Law Degree, specialising in “Corporate Law, Financial Markets and Competition Law”, Università Commerciale L. Bocconi, Milan (2012)
• Admitted to the Italian Bar before the Court of Appeal of Milan (2015)
• Master’s programme in Designing 231 Models (“IPSOA” 2015-2016)
