AVV. MARIA LUISA MUSERRA

Maria Luisa Muserra is a Partner of RASS – Studio Legale Rinaldi e Associati and advises on M&A, Corporate Law, Civil and Commercial Law, Business Contracts, and Corporate Compliance, with a special focus on 231 (the entities’ administrative liability pursuant to the Legislative Decree no. 231/2001).

She has extensive experience and skills in the field of business law, M&A and company reorganizations and boats an impressive track record of assisting Italian and foreign clients in M&A deals, de-mergers, contributions and transfers of companies, business going concerns and assets and in negotiating and drawing up of both typical and atypical business contracts.

Concerning Corporate Compliance, she is the head of the Corporate Compliance Team and advises on regulatory and compliance matters, including the risk assessment activity and the construction and implementation of Organizational, Management and Control Models. She has also assisted several companies during the adoption and review of business conduct policies and during the arrangement and holding of Ethics & Compliance training courses.

She also holds several offices as a member in Supervisory Bodies on listed and non-listed companies.

Education and qualifications:

• Doctor of Jurisprudence Degree, cum laude, Alma Mater Studiorum University in Bologna (1995)
• Admitted to practice (1998)
• Cultore and assistant professor in public law at the University of Business and Economics in Bologna (1995-1999)
