RASS – Studio Legale Rinaldi e Associati has gained a consolidated specific experience in the sector of Energy, Gas and Natural Resources Law, by having taken care over the past decades for the interests of primary operators, mainly foreign ones, in the management of their transactions in the liquid and gasseous hydrocarbons sector.
Throughout the years, the Firm has provided advice and assistance in drafting applications to obtain the exploration and research permits on the national territory, in special administrative regions (mainly in Sicily) and in the territorial waters, and in the release of the related concessions for the exploitation of oil and gas resources.
During the course of the said activities, the Firm has provided assistance and advice both as regards the environmental regulations and the drafting of operating agreements (Joint Operating Agreement) between the co-holder of the mining titles (including special clauses such as the so-called Sole Risk Agreement, Lifting and Balancing Agreement etc.), in the drawing up of agreements ancillary to the activities such as tender contracts, drill rental, soils lease and the related administrative formalities, including the relationships with the local and national Authorities and the possible disputes in front of regional and national Courts.
As concerns the sector of renewable energies and of energy efficiency, RASS – Studio Legale Rinaldi e Associati has advised several Italian and foreign operators in the realization and installation of wind and Photovoltaic (“PV”) parks, also within corporate transnational joint ventures, or high-performance co-generation plants, by participating in the structuring of the legal schemes along the whole process (formation of the SPV, shareholders’ agreements, financing contracts, EPC etc.)
